Welcome to ZipcodeGPT ("we," "our," or "us"). These Terms of Service ("Terms") govern your use of our ZipcodeGPT platform and services (the "Service"), operated by XGeo LLC.

1. Acceptance of Terms

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service.

2. Description of Service

ZipcodeGPT is an artificial intelligence-powered platform that analyzes U.S. Census data to provide insights, visualizations, and data-driven analysis. Our Service includes:

• AI-powered analysis of census demographic and socioeconomic data
• Interactive chat functionality for data queries
• Data visualization and insight generation
• ZIP code-based demographic analysis

3. User Accounts and Registration

To access certain features of our Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

4. Subscription Plans and Billing

4.1 Subscription Tiers

We offer multiple subscription tiers:

• Free Trial: New users receive 50 free credits upon registration (analyze up to 50 ZIP codes)
• Standard Plan: 50 credits per month (analyze up to 50 ZIP codes)
• Premium Plan: 100 credits per month (analyze up to 100 ZIP codes)

4.2 Usage Credits

Our Service operates on a credit-based model where certain actions consume credits. Each credit equals one ZIP code analysis:

• AI insight generation: 1 credit per ZIP code analyzed
• AI chat conversations: 1 credit per ZIP code analyzed (supports up to 20 questions per conversation)
• Searching multiple ZIP codes: 1 credit per each ZIP code (e.g., 5 nearby ZIP codes = 5 credits)
• Basic ZIP code data viewing: No credits consumed

4.3 Credit Accumulation and Expiration

Our credit system is designed to provide maximum value to active subscribers:

• Subscription Credits: Monthly subscription credits accumulate and do not expire while your subscription remains active
• Purchased Credits: Additional credits purchased separately also accumulate and are protected while subscribed
• Credit Priority: When consuming credits, subscription credits are used first, followed by purchased credits
• Grace Period: If you cancel your subscription, all accumulated credits remain available for 3 months after cancellation
• Expiration: Credits only expire if not used within the 3-month grace period after subscription cancellation
• Reactivation: Reactivating your subscription before the grace period expires preserves all accumulated credits

4.4 Payment and Billing

• Subscription fees are billed in advance on a monthly or annual basis
• All payments are processed securely through Stripe
• Additional credits can be purchased separately and will be added to your account immediately
• Prices are subject to change with 30 days' notice
• Refunds are provided in accordance with our refund policy

4.5 Cancellation and Grace Period

You may cancel your subscription at any time through your account settings or by contacting support. Upon cancellation:

• Cancellation takes effect at the end of your current billing period
• You retain access to paid features until the end of your billing period
• All accumulated credits (both subscription and purchased) remain available for 3 months after cancellation
• We will send email notifications as your grace period approaches expiration
• If you reactivate your subscription before the grace period expires, all credits are preserved
• Credits that remain unused after the 3-month grace period will be forfeited

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Share or resell access to your account
• Attempt to reverse engineer or extract underlying data beyond provided interfaces
• Use automated tools to excessively query our Service
• Interfere with or disrupt the Service or servers
• Upload malicious code or attempt to gain unauthorized access
• Use the Service for any unlawful purpose or to harass others

6. Data and Privacy

6.1 Census Data

Our Service analyzes publicly available U.S. Census data. This data is sourced from official government databases and is already in the public domain. We do not create or modify the underlying census data.

6.2 User Data

We collect and process the following types of user data:

• Account information (email, name, password)
• Usage data (queries submitted, features used)
• Payment information (processed by Stripe)

6.3 Data Security

We implement appropriate technical and organizational measures to protect your personal data against unauthorized access, alteration, disclosure, or destruction.

7. Artificial Intelligence and Content

7.1 AI-Generated Content

Our Service uses artificial intelligence to analyze data and generate insights. You acknowledge that:

• AI-generated content is provided for informational purposes only
• Results may contain inaccuracies or limitations
• You should verify important information independently
• We do not guarantee the accuracy or completeness of AI insights

7.2 Third-Party AI Services

We utilize third-party AI services (including but not limited to OpenAI and Grok AI) to power our analysis capabilities. Your interactions with our Service may be processed by these third-party providers in accordance with their respective terms and privacy policies.

8. Intellectual Property

8.1 Our Rights

The Service, including its original content, features, and functionality, is owned by XGeo llc and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

8.2 User Content

You retain ownership of any content you submit to our Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and analyze such content solely for the purpose of providing the Service.

9. Disclaimers and Limitations

9.1 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may suspend or limit access for maintenance, updates, or technical issues.

9.2 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.3 Limitation of Liability

IN NO EVENT SHALL XGEO LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

10. Indemnification

You agree to indemnify, defend, and hold harmless xgeo llc and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising out of or relating to your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Texas.

15. Severability

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and xgeo llc regarding the use of the Service, superseding any prior agreements.

17. Data Source Purchase License

If you purchase our data_source table (or any similarly labeled dataset), we grant you a non-exclusive, non-transferable license to download and use the dataset for personal use and for internal business purposes, including commercial use within your own products and services.

17.1 Permitted Uses

• Personal analysis and internal business operations.
• Commercial use within applications, analyses, reports, and visualizations you deliver to users or clients, provided the dataset itself is not distributed as a standalone file or database.

17.2 Restrictions

• No reselling, sublicensing, renting, or redistributing the dataset, any substantial portion of it, or derivative datasets as a standalone product, whether via marketplaces, public repositories, APIs, or bulk downloads.
• Do not make the raw dataset or table available to third parties. You must ensure your users or clients cannot extract the dataset as a standalone resource from your product or service.
• Client work is allowed, but your clients receive access only to your outputs (e.g., analyses, reports, or application functionality), not to the dataset itself.
